ResaleOS Payment Processor App: End-User License Agreement

This End-User License Agreement ("Agreement") is between Palm Delivery Innovations QOZB, LLC (doing business as ResaleOS) ("ResaleOS", "we", "us") and the merchant that installs the ResaleOS app from a third-party payment processor's app marketplace ("Merchant", "you"). It covers only that app (the "App"). Your use of the wider ResaleOS service is governed by our Terms of Use.
1. The App
The App connects your account with a third-party payment processor (the "Processor") to ResaleOS so that a sale rung up in the ResaleOS point of sale can be paid on your Processor device. Specifically, the App:
- reads your merchant account and its devices, so you can choose which device takes payment;
- creates an order with its line items in your Processor account and sends it to the device you chose;
- reads that order's payment status, amount, card brand and last four digits, and records them on the matching sale in ResaleOS.
The App does not issue refunds, change your Processor inventory, or read or create Processor customer records.
2. License
We grant you a non-exclusive, non-transferable, revocable license to use the App for your own business while you hold an active Processor account and a ResaleOS account. You may not resell, sublicense, reverse engineer or copy the App.
3. Fees
The App itself is free. Use of ResaleOS's point of sale requires a ResaleOS subscription, billed by ResaleOS directly under our Terms of Use and not through the Processor. The Processor's own processing fees still apply to every payment.
4. Term and termination
This Agreement starts when you install the App and continues until you uninstall it or disconnect the Processor in ResaleOS (Settings → Integrations). We may suspend or end your access if you breach this Agreement or if the Processor ends our access to its platform. On termination, we delete the Processor access tokens we hold for you.
5. Confidentiality and data
We access only the Processor data listed in section 1, use it only to provide the App, and never sell it. How we handle it is set out in the ResaleOS Payment Processor App Privacy Policy.
Data received from the Processor is not sent to any artificial-intelligence provider and is not used to train any model.
6. Your account
You are responsible for keeping your ResaleOS and Processor credentials secure and for everything done under your accounts. Tell us at info@resaleos.co if you suspect unauthorized use.
7. Disclaimers and limitation of liability
The App is provided "as is". To the maximum extent permitted by law, we disclaim all implied warranties, and our total liability under this Agreement is limited to the fees you paid ResaleOS in the 12 months before the claim. Neither party is liable for indirect or consequential damages. The Processor is not a party to this Agreement and is not responsible for the App.
8. Communications
We may contact you by email about the App, including changes to this Agreement. Material changes take effect 30 days after notice.
9. Privacy laws and data subject requests
Each party will comply with the privacy laws that apply to it, including the CCPA and, for merchants in Canada, PIPEDA and Quebec's Law 25. If we receive a request from one of your customers about data processed through the App, we will pass it to you and help you answer it.
10. General
This Agreement is governed by the laws of the State of Texas. The state and federal courts in Travis County, Texas, have exclusive jurisdiction. If any provision is unenforceable, the rest remains in effect. This Agreement, together with our Terms of Use, is the entire agreement about the App. The parties have required that this Agreement be drawn up in English and French; both versions are equally authoritative.
